1. Introduction
Welcome to SDP Digital Marketing ("SDP Digital", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, services, and any related communications.
By using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Acceptance of Terms
By accessing or using SDP Digital's services, you confirm that you:
- Are at least 18 years old or have legal authority to enter into binding contracts in your jurisdiction.
- Have read, understood, and agree to be bound by these Terms.
- Will use our services only for lawful purposes and in accordance with applicable laws.
- Are authorized to bind your organization to these Terms (if signing on behalf of a company).
3. Our Services
SDP Digital provides digital marketing services including, but not limited to:
- Search Engine Optimization (SEO) and content marketing
- Paid advertising campaigns across Google, Meta, LinkedIn, and other platforms
- Social media management and community building
- Email marketing and lifecycle automation
- Web design, development, and conversion optimization
- Analytics, reporting, and attribution modeling
The specific scope of services for each engagement will be detailed in a separate Statement of Work (SOW) or service agreement.
Important: While we strive for measurable results, we cannot guarantee specific outcomes such as exact revenue figures, ranking positions, or conversion rates, as these depend on factors outside our control.
4. User Obligations
To use our services effectively, you agree to:
- Provide accurate, current, and complete information when requested.
- Grant timely access to accounts, platforms, and assets required to deliver services.
- Review and approve deliverables within agreed timelines.
- Make payments according to the terms specified in your service agreement.
- Refrain from any activity that violates applicable laws or platform policies.
5. Payment Terms
5.1 Fees and Billing
Service fees are outlined in your individual service agreement. Unless otherwise stated, all retainer fees are billed monthly in advance and are due within 14 days of invoice.
5.2 Late Payments
Invoices unpaid after 30 days may result in suspension of services. We reserve the right to charge interest of 1.5% per month on overdue balances, where permitted by law.
5.3 Refunds
Due to the nature of digital marketing services, fees paid are generally non-refundable once work has commenced. Specific refund terms, if any, will be outlined in your service agreement.
6. Intellectual Property
Unless otherwise agreed in writing, you retain ownership of all content and materials you provide to us. Upon full payment, you receive ownership of deliverables created specifically for you under the engagement.
SDP Digital retains the right to use general methodologies, frameworks, know-how, and skills developed during our work, as well as the right to reference your engagement in case studies and marketing materials unless explicitly prohibited.
7. Termination
Either party may terminate an engagement by providing 30 days' written notice. Upon termination:
- You remain responsible for fees incurred up to the termination date.
- We will deliver completed work and transfer applicable assets.
- Both parties remain bound by confidentiality and IP provisions.
8. Limitation of Liability
To the maximum extent permitted by law, SDP Digital's total liability arising from or related to our services shall not exceed the total fees paid by you in the three (3) months immediately preceding the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
9. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated to active clients in writing. Continued use of our services after such changes constitutes acceptance of the revised Terms.
